What are the documents does a Foreign Company require to start a Subsidiary in India?
So, your company falls under the category of “Foreign Company” according to the Indian Companies Act 2013 and you want to start a subsidiary company. However, you know nothing about the documents which are required for the procedure.
So, without further ado, here are the documents that are required to start a subsidiary of a foreign company in India:
1. A “Board Resolution” of parent company approving the incorporation of Subsidiary company in India.
2. PAN, ID Proof and Address Proof of proposed equity shareholders and directors, it should be noted that there must be one Indian Resident director to start a subsidiary company in India.
3. Documents relating to representative of Foreign company (Foreign Individual): Passport copy, Address Proof and copy of PAN card (if any).
4. Board Resolution with respect to authorizing representative of Foreign Company to represent themselves for doing needful acts before the Registrar of Companies, India and approving the investment of Foreign Company in Indian Company.
5. Certificate of Incorporation of Foreign Company.
6. Memorandum/Articles of Incorporation/Constitution of Foreign Company.
7. Address proof of Foreign Company (any utility bill like electricity, water, telephone line etc. in the name of Foreign Company).
