Introduction about DIR-3 KYC And its Compliance on Ministry of Corporate Affairs Portal:
“Director Identification Number” (DIN) means an identification number allotted by the Central Government to any individual, intending to be appointed as director for the purpose of his identification as a director of a company:
Provided further that “Director Identification Number” (DIN) includes the Designated Partnership Identification Number (DPIN) issued under section 7 of the Limited Liability Partnership Act, 2008 (6 of 2009) and rules made there under.
Every individual intending to be appointed as director of a company shall make an application for allotment of Director Identification Number to the Central Government in such form and manner and along with such fees as may be prescribed.
The Ministry of Corporate Affairs (MCA) vide Companies (Appointment and Qualification of Directors) Fourth Amendment Rules, 2018 (Rules) has introduced mandatory filing of new E-Form DIR-3-KYC on an annual basis. The notification is effective from 10 July, 2018 and the e-form was made available on the MCA portal for filing purpose.
General Circular No. 07/2019 dated 27/06/2019:- Regarding filing of DIR-3 KYC through web-based verification service :
The matter has been examined and it is hereby informed that it is being proposed that every person who has already filed DIR-3 KYC will only be required to complete his/her KYC through a simple web-based verification service, with pre-filled data based on the records in the registry, for ease of verification by the person concerned. However, in case a person wishes to update his mobile no. or e-mail address, he would be required to file e-form DIR-3 KYC, as this facility of updating is not being proposed in the web-based service. In case of updating in any other personal details except contact details e-form DIR-6 may be filed for updating of the same before completion of KYC through the web-based service.
As per Rule 12 A of The Companies (Appointment and Qualification of Directors) Third Amendment Rules, 2019 dated 25th July 2019.
i) E-Form DIR-3 KYC is to be filed by an individual who holds Director Identification Number (DIN) as on 31st March of a financial year shall submit e-form DIR-3-KYC for the said financial year to the Central Government on or before 30th September of immediate next financial year.
ii) Web service: Form DIR-3-KYC-WEB is to be used by the DIN holder who has submitted DIR-3 KYC e-form in the previous financial year and no update is required in his/her details like address change and contact details etc. In case an individual holding DIN desires to update his personal mobile number, e-mail address, as the case may be, he/she shall update the same by submitting e-form DIR-3 KYC only.
Provided further that where an individual who has already submitted e-form DIR-3 KYC in relation to any previous financial year, submits web-form DIR-3 KYC-WEB through the web service in relation to any subsequent financial year it shall be deemed to be compliance of the provisions of this rule for the said financial year.
Provided also that if an individual intends to update his personal mobile number or the email address again at any time during the financial year in addition to the up-dation allowed under the third proviso, he/she shall update the same by submitting e-form DIR-3 KYC on payment of fees of five hundred rupees” This is a new update effective from 1st August 2024.
STEPS TO BE FOLLOWED FOR FILING OF FORM DIR-3 KYC WEB ON MCA V3 PORTAL:
- Login to MCA V3 Account and Navigate to:- MY Application – Company e-filing– DIN Related Filings –Form DIR 3 KYC WEB.
- Enter DIN No to be verified. Generate OTP’S for Email id & Mobile no and enter the OTP’S in the respective boxes.
- Confirm the details of DIN holders appearing on Screen.
- Click Submit and generate a Zero Rupee Challan
Due Date of Filing e-Form DIR-3 KYC & Form DIR 3 KYC WEB: Last Date is 30th Sept of every year like for the FY 2023-24 the due date was 30/09/2024. After 30/09/2024 penalty of Rs 5000 shall be levied for filing of the same.
Conclusion: In a digitized corporate landscape, complying with regulatory requirements is crucial. All DIN/DPIN holders are required to complete the DIR-3 KYC/DIR-3 WEB every year to remain compliant.
Form DIR-3 KYC is an integral part of this compliance, ensuring that directors’ information is up-to-date and accurate. Failure to submit the DIR-3 KYC within the specified timeframe may lead to the deactivation of DINs, making them ineligible for any MCA filings to the Registrar of Companies.
