{"id":6348,"date":"2021-12-16T12:36:21","date_gmt":"2021-12-16T12:36:21","guid":{"rendered":"https:\/\/msassociates.pro\/articles\/?p=6348"},"modified":"2025-09-11T18:10:44","modified_gmt":"2025-09-11T18:10:44","slug":"llp-settlement-scheme-2020","status":"publish","type":"post","link":"https:\/\/www.msassociates.pro\/articles\/llp-settlement-scheme-2020\/","title":{"rendered":"Llp settlement scheme 2020"},"content":{"rendered":"<h2><strong>Introduction:<\/strong><\/h2>\n<p>In addition to\u00a0<strong>\u201cCompanies Fresh Start Scheme, 2020\u201d\u00a0<\/strong>,the Central Government in exercise of its power u\/s 460 of the Companies Act, 2013 (extended to LLPs vide Gazette Notification No. G.S.R. 59(E) dated 30th January, 2020 u\/s 67 (2) of the Limited Liability Partnership Act, 2008) has decided to introduce a scheme namely \u201c<strong>LLP Settlement Scheme, 2020\u201d<\/strong>, by allowing a one-time condonation of delay in filing statutorily required documents with the registrar.<br \/>\nAs part of government\u2019s constant efforts to promote ease of doing business, it has been decided to give a one-time relaxation in additional fees to the defaulting LLPs to make good their default by filing pending documents and to serve as a compliant LLP in future.<\/p>\n<h2><strong>Details of the LLP settlement Scheme, 2020<\/strong><\/h2>\n<p>This Scheme is effective from 01<sup>st<\/sup>\u00a0April 2020 and shall remain in force upto\u00a0<strong><em>30<sup>th<\/sup>\u00a0September, 2020.<\/em><\/strong><\/p>\n<ul>\n<li>\u00a0<strong>Applicability<\/strong>: Any &#8220;defaulting LLP&#8221; is permitted to file belated documents, which were due for filing till 31<sup>st<\/sup>\u00a0August 2020, in accordance with the provisions of this Scheme.<\/li>\n<\/ul>\n<p>Where, \u201cdefaulting LLP&#8221; means a LLP registered under the Limited Liability Partnership Act, 2008 which has made a default in filing of documents on the due date(s) specified under the LLP Act, 2008.<\/p>\n<ul>\n<li><strong>Manner of payment of fees and additional fee on filing belated document for seeking immunity under the Scheme<\/strong>\u00a0&#8211; The defaulting LLPs may themselves avail of the scheme for filing documents which have not been filed or registered in time on payment of fee as payable for filing\u00a0of such document or return.The defaulting LLPs may file form till 30<sup>th<\/sup>\u00a0September, 2020, till then no additional fees will be charged to file forms.<\/li>\n<li><strong>Immunity from prosecution in respect of document(s) filed under the scheme<\/strong>\u00a0&#8211; The defaulting LLPs, which have filed their belated documents till 30<sup>th<\/sup>\u00a0September 2020 and made good the default, shall not be subjected to prosecution by registrar for such defaults.<\/li>\n<li><strong>The Scheme not to apply:-\u00a0<\/strong>This Scheme shall not apply to LLPs which have made application in Form 24 (Application to the Registrar for striking off name)\u00a0to the registrar, for striking off their name from the register as per the provisions of Rule 37(1) of the LLP Rules, 2009.<\/li>\n<li><strong>This Scheme shall apply to the filing of following documents mentioned below:-<\/strong><\/li>\n<\/ul>\n<p>(i.)\u00a0<strong>Form-3:-<\/strong>\u00a0Information with regard to limited liability partnership agreement and changes, if any, made therein;<br \/>\n(ii.)\u00a0<strong>Form-4:-<\/strong>\u00a0Notice of appointment, cessation, change in name\/address\/ designation of a designated partner or partner and consent to become a partner\/ designated partner;<br \/>\n(iii.)\u00a0<strong>Form-8:<\/strong>-Statement of Account &amp; Solvency (Annual or Interim);<br \/>\n(iv.)\u00a0<strong>Form-11<\/strong>-Annual Return of Limited Liability Partnership (LLP).<br \/>\n(v.)\u00a0<strong>Form 15:<\/strong>\u00a0Notice for change of place of registered office.<br \/>\n(vi.)\u00a0<strong>Form 5:<\/strong>\u00a0Notice for change of name.<br \/>\n(vii.)\u00a0<strong>Form 12:<\/strong>\u00a0Form for intimating other address for Service of Documents.<br \/>\n(viii.)\u00a0<strong>Form-22:<\/strong>\u00a0Notice of intimation of Order of Court\/ Tribunal\/CLB\/ Central Government to the Registrar.<br \/>\n(ix.)\u00a0<strong>Form-31<\/strong>: Application for Compounding of an offence.<br \/>\n(x.)\u00a0<strong>Form-23:<\/strong>\u00a0Application for direction to Limited Liability Partnership (LLP) to change its name to the Registrar.<br \/>\n(xi.)\u00a0<strong>Form-29\u00a0<\/strong>: Notice of (a) alteration in the certificate of incorporation or registration;
