Such a setup is regulated under FEMA 1999, particularly Notification No. FEMA 22(R) &#8211; 2000, and the Reserve Bank of India (RBI) guidelines.<\/p>\n<p>This article explains what a Project Office is, when you can use one, how to register it, and what your ongoing obligations are once it is operational.<\/p>\n<h2>What is a Project Office in India?<\/h2>\n<p>A Project Office is a <strong>place of business that a foreign company opens in India<\/strong> to represent its interests for one specific project. It is just like an extension of a foreign company in India for carrying out a particular project.<\/p>\n<p>A Project Office, unlike a Liaison Office, <strong>can generate revenue and receive payments directly<\/strong> related to the project. And it is <strong>not<\/strong> necessary to be incorporated under the Companies Act as a Subsidiary.<\/p>\n<p>The project must have a defined scope and end date. Once the project is finished the Project office has to be closed.<\/p>\n<h2>When Can You Open a Project Office?<\/h2>\n<p>The Reserve Bank of India (RBI) allows a foreign company to set up a Project Office, if it has <strong>secured a contract from an Indian company<\/strong> or government body to undertake a project in India. The project has to be in one of the following categories:<\/p>\n<ul>\n<li>Infrastructure projects (roads, ports, railways, power)<\/li>\n<li>Defense contracts<\/li>\n<li>Civil construction projects<\/li>\n<li>Turnkey projects<\/li>\n<li>Other projects where the contract is funded by a bilateral or multilateral institution, such as the World Bank or Asian Development Bank<\/li>\n<\/ul>\n<blockquote><p>Your contract must be the source of funding for the Project Office. The foreign company cannot use internal funds to set up the office; the income from the contract supports its operations.<\/p><\/blockquote>\n<p><strong>This structure works well when:<\/strong><\/p>\n<ul>\n<li>A foreign company has got a contract from an Indian company or business<\/li>\n<li>The project being executed in India has a pre-defined timeline<\/li>\n<li>The company is not keen on carrying out broader commercial activities in India<\/li>\n<li>A temporary operational presence is required and sufficient<\/li>\n<\/ul>\n<h2>Benefits of PO in India<\/h2>\n<p>A Project Office becomes an entry route into India for foreign companies, especially when they are handling a project here. It is commonly discussed and executed for temporary or contract-based operations.<\/p>\n<p>Let&#8217;s look at the benefits:<\/p>\n<p><strong>No separate company incorporation required: <\/strong>The foreign company can do business in India without having to open any subsidiary company here.<\/p>\n<p><strong>Useful for project-based assignments: <\/strong>You would use a PO when the business activity is related to a contract or a project.<\/p>\n<p><strong>Direct control from parent company: <\/strong>All its operations and project execution here in India is controlled by the foreign head office.<\/p>\n<p><strong>Simpler closure process: <\/strong>Once the project is completed, the project office must be closed after completing all the regulatory formalities.<\/p>\n<p><strong>Profit remittance allowed: <\/strong>Profits made from authorised activities can normally be transferred abroad in accordance with the applicable regulations.<\/p>\n<p><strong>Bank account facility available: <\/strong>Project Offices can open bank accounts in India for all their project-related transactions.<\/p>\n<p>Sometimes at the start companies think of <a href=\"https:\/\/www.msassociates.pro\/private-limited-company-registration.php\">forming a Private Limited Company<\/a>. But later, after understanding the scope of work, they realise a PO is enough for the project.<\/p>\n<h2>Eligibility Conditions<\/h2>\n<p>Before you apply, you need to meet these conditions:<\/p>\n<ol>\n<li>You should have a <strong>contract with an Indian party<\/strong> or government agency.<\/li>\n<li><strong>Payments<\/strong> should be made in foreign exchange or from a rupee account funded by the contracting party as per the contract.<\/li>\n<li>The project is in a sector where <strong>100% Foreign Direct Investment (FDI) is allowed<\/strong> or the contract is with a government entity.<\/li>\n<li>Your company should <strong>not be flagged in restricted list<\/strong> issued by the RBI or Ministry of Finance.<\/li>\n<\/ol>\n<blockquote><p>The RBI and AD Category-I Bank normally consider these requirements before providing their permission.<\/p><\/blockquote>\n<h2>PO Registration Process in India<\/h2>\n<p>Let&#8217;s take a look at the steps required to register a PO in India.<\/p>\n<h3>Step 1: Collect Your Documents<\/h3>\n<p>First you will need the following documents:<\/p>\n<ul>\n<li>A certified copy of your company\u2019s Certificate of Incorporation in your native country (proof of identity)<\/li>\n<li>Memorandum and Articles of Association (or alternative constitutional document)<\/li>\n<li>Audited financial accounts for the past three years<\/li>\n<li>A copy of the contract awarded by the Indian Party (Companies)<\/li>\n<li>A Board resolution for opening the Project Office and nominating the authorised representative<\/li>\n<li>A bank reference that verifies your company\u2019s financial status<\/li>\n<li>KYC documents of authorised representative<\/li>\n<\/ul>\n<blockquote><p>All international documents need to be apostilled or notarised and translated into English if they are in another language.<\/p><\/blockquote>\n<h3>Step 2: Apply to the RBI via an Authorised Dealer Bank<\/h3>\n<p>You do not apply to the RBI directly. Instead, you <strong>send your application to an Authorised Dealer (AD) Bank in India<\/strong>, which is usually a bank that your Indian contractual partner or you use for business. Your application is reviewed by the AD Bank and sent to the RBI. The AD Bank submits Form FNC (Form for Non Citizens) with your documentation.<\/p>\n<p>If your project is in an allowed industry and your contract fits the eligibility standards, the RBI will give you general authorisation in most situations. However, if the project is in a restricted sector or the contract does not conform to the usual requirements, the RBI reviews the application on a case-to-case basis and may take a little longer.<\/p>\n<h3>Step 3: Open Your Bank Account<\/h3>\n<p>You can open a bank account with an AD Bank in India after getting the clearance (or general permission) from the RBI. This account is paid by your contractual party and is used for local expenditures. You cannot move monies from the internal accounts of your native country to this bank account.<\/p>\n<h3>Step 4: Register with the Registrar of Company<\/h3>\n<p>You are required to file Form FC-1 with the ROC through the Ministry of Corporate Affairs (MCA) site within 30 days of the establishment of the Project Office. You upload the same set of documentation that you have given to RBI, along with the RBI permission letter.<\/p>\n<p>When your filing is processed by the ROC, you will get an acknowledgement. At this moment your Project Office is registered as a legal entity in India.<\/p>\n<h3>Step 5 &#8211; Get a Permanent Account Number (PAN) and Tax Deduction Account Number (TAN)<\/h3>\n<p>You would have to get PAN and TAN from the Income Tax Department. These are required to file your tax returns and deduct tax at source (TDS) on payments you make to vendors and workers.<\/p>\n<h3>Step 6: Register for GST<\/h3>\n<p>If your project involves supply of taxable goods or services, you are required to register under the Goods and Services Tax (GST) regime. Most of the building and infrastructure projects demand GST registration from day one.<\/p>\n<h3>Step 7: Register under the Shops &amp; Establishments Act<\/h3>\n<p>Depending on the state where your Project Office is located, you may additionally be required to register under the local Shops and Establishments Act. This includes your office premises and your staff.<\/p>\n<blockquote><p>Much depends on the kind of project. For example, infrastructure projects usually have more registrations and operational permissions than consulting projects.<\/p><\/blockquote>\n<h2>Documents Required for Project Office Registration<\/h2>\n<p>Documentation is one such area where delays tend to happen. For instance, missing notarisation, incomplete financial statements or mismatch in project details can delay the process.<\/p>\n<p><strong>Documents generally required<\/strong><\/p>\n<ul>\n<li>Duly filled Form FNC<\/li>\n<li>Certificate of Incorporation of the foreign company<\/li>\n<li>Memorandum and Articles of Association<\/li>\n<li>Audited financial statements of the foreign company<\/li>\n<li>Banker\u2019s Report from an overseas bank<\/li>\n<li>Power of Attorney in favour of the authorised representative<\/li>\n<li>Copy of project agreement or contract<\/li>\n<li>Identity and address proof of the foreign company<\/li>\n<li>Board Resolution, wherever required<\/li>\n<\/ul>\n<p><strong>Important point to remember<\/strong><\/p>\n<p>Some documents issued outside India might need notarisation and apostille or consularisation. This depends upon the country of origin. This situation can delay the whole process and timeline &#8211; especially when there are more countries involved in signing and approvals.<\/p>\n<h2>Important Compliance Requirements<\/h2>\n<p>Once your Project Office is operational, there are continuous compliance obligations you will need to keep track of. Some of the more important ones are:<\/p>\n<p><strong>Annual Activity Certificate (AAC):<\/strong> Every year you will have to submit an AAC to the AD Bank on 30th September. This document is certified by a Chartered Accountant. It mentions the state of the project, the income obtained and the expenses incurred.<\/p>\n<p><strong>ROC Annual Filing:<\/strong> You are obliged to file Form FC-3 with the ROC annually together with your financial statements produced in the Indian format.<\/p>\n<p><strong>Income Tax Return:<\/strong> Your Project Office in India is a taxable entity and has to file the income tax return every year. Project profits shall be taxed at the rate applicable to foreign companies, plus the applicable surcharge and cess.<\/p>\n<p><strong>Transfer Pricing Compliance:<\/strong> If your project involves transactions with your parent firm or affiliated companies, such transactions will be subject to the transfer pricing requirements of India. You have to keep correct documentation and, when required, file a transfer pricing report.<\/p>\n<p><strong>Repatriation of Surplus:<\/strong> After completion of the project and clearing all tax dues, you can repatriate the surplus funds to your home country. This is done through AD Bank with proper RBI filings.<\/p>\n<h2>Closure of a Project Office<\/h2>\n<p>When your project is complete you have to formally close the Project Office. The closure process is as follows:<\/p>\n<ul>\n<li>Submission of report to AD Bank confirming project completion<\/li>\n<li>Payment of all taxes due and getting No Objection Certificate from the Income Tax Department<\/li>\n<li>Transfer of remaining assets or funds as approved by RBI<\/li>\n<li>Submitting a closure report to the ROC<\/li>\n<li>RBI &amp; ROC both are to be intimated.<\/li>\n<\/ul>\n<p>Open Project Office introduces compliance concerns and additional costs after the project concludes.<\/p>\n<h2>Common Challenges<\/h2>\n<p><strong>Timeframe:<\/strong> The approval from the RBI may take from four to twelve weeks depending upon the nature of business and the complexity of the contract. So plan your project start date accordingly.<\/p>\n<p><strong>Apostille of documents:<\/strong> Foreign documents must be properly apostilled. One of the most frequent causes of delay at the AD Bank stage are errors or missing apostilles.<\/p>\n<p><strong>Tax compliance:<\/strong> Many foreign companies underestimate the ongoing tax compliance requirements. TDS, GST, and income tax filings are all time-sensitive. Missing due dates attracts interest and penalties.<\/p>\n<p><strong>State-level registrations:<\/strong> Project Offices in construction or infrastructure often operate across multiple sites in different states. Each state may have its own registration requirements.
